1. About the Partner Program
The KipBiz Partner Program pays people who refer businesses that then subscribe. These Partner Terms form a binding agreement between you and Kinwave Technologies Ltd ("we", "us") and apply instead of the general Terms of Service for anything specific to the Program.
The general Terms of Service still apply to you where these Partner Terms are silent, including our Acceptable Use rules.
2. Eligibility and Application
You must be at least 18 years old and legally able to enter into a binding contract. Individuals, registered businesses and companies may apply.
Applications are subject to approval. We may open or close registrations, and we may decline or suspend an application at our discretion, for example where we cannot verify your identity, where an application appears to be part of a self-referral scheme, or where the Program is not available in your location.
We can change the Program's status at any time. If the Program is switched off, existing partners keep access to their account, records and any commission already earned.
3. How Commission Is Earned
Commission is earned once only on the first eligible successful paid KipBiz subscription of a legitimately referred business. No commission is earned on renewals, upgrades or later subscription payments.
A referral counts when a new business signs up through your referral link and then subscribes. Platform Admin controls the commission rate, clearing period and minimum withdrawal. The dashboard displays the rate and minimum withdrawal; each earned commission stores its rate and clearing period at the time it is earned. Later settings do not recalculate existing earnings.
Commission is credited only on a successful, confirmed payment. Failed, reversed or refunded payments do not earn commission, and any commission already paid on a payment that is later reversed or refunded may be deducted from your balance.
4. Referral Tracking
Your referral link carries a code that identifies you. A referral is credited on a first-click basis: the first partner link a visitor follows is the partner recorded for that business, and later clicks on other partner links do not change it.
The referral window is 14 days. After the window closes the link no longer attributes the business, and commission cannot be claimed for it.
- You may not refer yourself, or use a second account, or refer a business you control in order to earn commission.
- You may not buy, bid on, or bid against our trade marks in advertising, including paid search terms that contain them.
- You may not send unsolicited bulk email, spam, or messages that misrepresent an affiliation with KipBiz.
- You may not offer your own discount, credit or rebate against a referral, and you may not misrepresent pricing or features.
5. Payouts
Partner payout V1 is limited to Nigeria, NGN and Paystack, and requires a verified Nigerian bank account. Bank verification and withdrawal execution are not yet available in the current partner portal. Do not submit bank details through an unverified channel.
When withdrawals become available, they require the Platform Admin minimum withdrawal threshold and a verified account. Commission is eligible only after the snapshotted clearing period, which exists so that a subscription can be cancelled or refunded before it is paid out.
Where we pay out automatically, we will tell you before the first automatic payout on your account. We may charge the fees our payment provider or bank charges, and we may deduct them from your balance.
We can reject a payout where we reasonably suspect fraud, self-referral, a chargeback, or a breach of these Partner Terms, and will tell you why.
6. Suspension, Termination and Clawback
You may stop participating at any time by closing your partner account.
We may suspend or close your partner account where you breach these Partner Terms, where a referred business was obtained through a prohibited method, or where we detect abuse of the Program.
On termination, valid cleared commission remains recorded; payout arrangements are subject to verification and the availability of the payout process. Commission that has not cleared, or that is pending investigation, may be withheld or reversed.
Termination does not remove obligations that by their nature survive it, including your obligation to keep commission already paid that was earned through a breach.
7. No Employment or Agency
You are an independent partner, not an employee, agent, reseller or franchisee of Kinwave Technologies Ltd. Nothing in these Partner Terms creates a partnership, joint venture or employment relationship.
You have no authority to enter into contracts on our behalf, to make commitments about our products or pricing, or to represent that you are employed by or officially affiliated with KipBiz beyond what is stated in your dashboard.
8. Trade Marks and Content
We give you a limited, revocable, non-exclusive right to use our name and logos in your own promotional material, solely to refer to the Partner Program and to use the approved assets as provided.
You may not edit the assets, use them in a way that suggests we endorse you beyond the Program, or use them after your account is closed. All other trade mark rights are reserved.
9. Warranties and Indemnity
You confirm that information you give us, including your identity and payout details, is accurate and that you are legally able to enter this agreement.
You agree to indemnify Kinwave Technologies Ltd against claims, losses and reasonable costs arising from your breach of these Partner Terms, your misuse of our trade marks, or any claim by a business you referred that arises from something you said or promised.
10. Limitation of Liability
The Service is provided on an "as is" basis. We do not guarantee any level of referral volume, commission or earnings, and nothing in these Partner Terms is a promise of income.
To the fullest extent permitted by law we are not liable for indirect or consequential loss, loss of profit or loss of business opportunity. Our aggregate liability is limited to the commission actually paid to you in the 12 months before the event giving rise to the claim.
Nothing here limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any liability that cannot lawfully be limited.
11. Governing Law and Disputes
These Partner Terms are governed by the laws of the Federal Republic of Nigeria and you and we submit to the exclusive jurisdiction of the courts of Nigeria.
We will first attempt to resolve any dispute by discussion between us before starting proceedings.
