1. About These Terms

These Terms of Service ("Terms") form a binding agreement between you and Kinwave Technologies Ltd ("we", "us") governing your access to and use of KipBiz, the business management platform and related services we make available (the "Service").

By creating an account or using the Service you confirm that you have read, understood and agree to these Terms. If you do not agree, please do not use the Service.

2. Who May Use the Service

You must be at least 18 years old and legally capable of entering into a binding contract.

You may use the Service for your own lawful business purposes, or on behalf of a company you are authorised to represent. Where you act for a company, you confirm you have authority to bind that company and you are responsible for the acts of the users you add to the account.

3. Your Account

You are responsible for everything that happens under your account. Keep your password confidential and notify the support contact provided in your account immediately if you believe it has been disclosed, stolen or used without your permission.

You must provide accurate registration information and keep it current. Accounts registered with information we know to be false, or that are used to mislead others about your identity, may be suspended without notice.

4. Acceptable Use

You may not use the Service to break the law, to infringe the rights of others, or in a way that harms KipBiz, our users or the infrastructure we rely on.

  • Do not attempt to gain unauthorised access to the Service, any account, or any system connected to it.
  • Do not copy, scrape, reverse engineer, decompile or attempt to derive the source code of the Service, except to the extent that restriction is prohibited by law.
  • Do not circumvent, probe or exceed the usage limits, branch limits, user limits or other limits attached to your plan, including by creating additional accounts or businesses to avoid them.
  • Do not resell, sublicense, rent or provide the Service as a service bureau to third parties on a commercial basis without our written agreement.
  • Do not upload content that is unlawful, infringing, or that infringes another person's privacy or confidentiality.
  • Do not introduce malicious code, or use the Service to distribute malware or unsolicited commercial messages.

5. Licence to Use the Service

Subject to these Terms and your plan, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your internal business purposes during your subscription.

All rights not expressly granted are reserved. Nothing in these Terms transfers ownership of the Service, our software, our trade marks or our documentation.

6. Your Business Data

You keep ownership of the business data you enter into the Service: your sales, purchases, stock, customers, suppliers, staff and reports. Nothing in these Terms transfers ownership of that data to us.

You grant us the non-exclusive, worldwide licence necessary to host, back up, transmit, display and process your business data in order to operate, secure and support the Service for you. That licence ends when we delete your data, except for copies retained in backups or as required by law.

You are responsible for ensuring you have the rights and consents needed to enter the personal data of your customers, suppliers and staff into the Service, and for the lawfulness of that processing.

7. Subscriptions, Trial and Fees

Paid access is provided on the plans and billing periods shown on our pricing page. Each new subscription includes a free trial of 14 days. Your trial and any resulting subscription are shown in your account before you are charged, and the dates shown there are the dates we apply.

Fees are charged in advance through our payment provider. Fees exclude any applicable taxes, which we will collect where we are required to do so. Prices are shown exclusive of tax unless stated otherwise.

We may change our prices with reasonable notice. A price change takes effect from your next renewal, not from the current billing period already paid for.

Where you pay by a method that supports recurring charges, renewal is your responsibility to keep funded. If a renewal payment fails we may retry it and, if it continues to fail, restrict or suspend the paid features. We do not renew or bill a trial automatically.

8. Suspension and Termination

You may stop using the Service and disable automatic renewal through the available billing controls. Contact the support channel provided with your account for account closure or a refund request; there is no public Contact Us form yet.

We may suspend or terminate your access where you materially breach these Terms, where continued operation would breach the law or a court or regulatory order, or where we detect fraud or an attack on the Service. Where the situation allows it we will tell you first and give you a chance to fix it.

On termination your right to use the Service ends immediately. You remain responsible for fees already due, and we will retain or delete your data in line with our Privacy Policy.

9. Third-Party Services

The Service integrates with third-party providers, including payment processing. Those providers operate under their own terms and privacy policies, and we are not responsible for them.

Where we rely on a third-party service to deliver a part of the Service, our responsibility is limited to selecting it and configuring it with reasonable care.

10. Intellectual Property

KipBiz, its name, logos, interface and underlying software are our property or the property of our licensors. You may not use our trade marks without our prior written permission, except to describe your use of the Service truthfully.

Feedback you send us may be used by us without restriction or obligation to you.

11. Disclaimers

The Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law we disclaim all implied warranties, including implied warranties of merchantability, fitness for a particular purpose and non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, or that your business data will never be lost. Your responsibility to keep your own backups of important data is not reduced by anything in these Terms.

12. Limitation of Liability

To the fullest extent permitted by law, neither party is liable for indirect or consequential loss, loss of profit, loss of revenue, loss of goodwill, or loss or corruption of data, arising out of or in connection with the Service.

Our total aggregate liability to you for all claims arising out of or relating to the Service is limited to the total fees you actually paid us for the Service in the 12 months before the event giving rise to the claim.

Nothing in these Terms limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any liability that cannot lawfully be limited.

13. Indemnity

You agree to indemnify and hold harmless Kinwave Technologies Ltd and its officers, employees and agents against claims, damages, losses and reasonable costs arising from your use of the Service, your breach of these Terms, or your infringement of a third party's rights.

14. Governing Law and Disputes

These Terms are governed by the laws of the Federal Republic of Nigeria, and you and we submit to the exclusive jurisdiction of the courts of Nigeria.

Before starting proceedings, you and we agree to attempt to resolve the dispute by discussion between the people who raised it. Most disputes are resolved that way without the cost or delay of court.

15. Changes to These Terms

We may update these Terms. Each update is published as a new version with its own effective date on this page, and we will tell you by email or in the Service when a material change takes effect.

If you do not agree to an updated version, you may close your account before it takes effect. Continuing to use the Service after the effective date means you accept the updated version.

16. Contact

Questions about these Terms can be sent to us at the support contact provided in your account. Write to us in English so we can respond as quickly as possible.
